Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Meridian Operations LLC, a Texas limited liability company (“Company,” “we,” “us,” or “our”), and govern your access to and use of the Who's My Provider website located at whosmyprovider.com, together with its application programming interface and related services (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Eligibility and acceptance
You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you use the Service on behalf of an entity, you represent that you are authorized to bind that entity, in which case “you” refers to that entity. Your continued use of the Service constitutes acceptance of these Terms and any modifications to them.
2. Description of the Service
The Service provides estimated information regarding the utility providers (including, without limitation, electric, water, wastewater, natural gas, and solid-waste providers) that may serve a given United States address, derived primarily from publicly available governmental data, and presents such information on an interactive map. The Service is provided for general informational purposes only.
3. No warranty of accuracy; assumption of risk
Utility service territories change over time, and the underlying public data may be incomplete, inaccurate, outdated, approximate, or otherwise unreliable — particularly near territory boundaries, outside the State of Texas, and with respect to natural gas, for which no authoritative public boundary source exists. Results are presented with confidence indicators and explanatory notes for this reason. You are solely responsible for independently verifying any result directly with the applicable utility before relying on it. You assume all risk arising from your use of, or reliance upon, the Service. The Service must not be used for emergency purposes or for any determination in which an error could result in personal injury, property damage, or financial loss.
4. Not professional advice
The Service does not constitute legal, financial, real-estate, engineering, regulatory, or other professional advice, and no information provided through the Service shall be construed or relied upon as such.
5. Data sources, intellectual property, and license
The datasets underlying the Service are obtained from public and governmental records (including, among others, the Public Utility Commission of Texas, the Homeland Infrastructure Foundation-Level Data program, and the United States Census Bureau) and are generally in the public domain. Mapping imagery is provided by Apple Inc. pursuant to its applicable terms. The selection, arrangement, compilation, software, design, text, and other proprietary elements of the Service are owned by the Company or its licensors and are protected by applicable intellectual-property laws. Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes. All rights not expressly granted are reserved.
6. API terms
If you access the Service's application programming interface (the “API”), the following additional terms apply:
- Access may require a valid API credential and/or use of an authorized API marketplace. You are responsible for maintaining the confidentiality and security of your credentials and for all activity conducted through them.
- You must remain within the rate limits, quotas, and usage scope of your applicable plan and must not circumvent, disable, or interfere with any authentication, metering, or billing mechanism.
- You may incorporate API results into your own products or workflows; however, you may not resell, sublicense, or redistribute the API itself, nor represent the Service or its data as your own.
- The Company may modify, rate-limit, suspend, or discontinue the API, or any credential or account, at any time and without liability, including for actual or suspected misuse, non-payment, or violation of these Terms.
- The API is provided on the same “AS IS,” no-warranty, limited-liability basis as the remainder of the Service.
7. Acceptable use
You agree that you will not, and will not permit any third party to:
- scrape, crawl, bulk-extract, or systematically harvest data from the Service except through the API in accordance with Section 6;
- overload, disrupt, degrade, probe, or attempt to gain unauthorized access to the Service, its infrastructure, or any connected system or data provider;
- use the Service in violation of any applicable law or regulation, or to infringe or misappropriate the rights of any party;
- remove, obscure, or misrepresent any confidence indicator, attribution, or notice, or present any result as authoritative; or
- violate the terms of any third-party service on which the Service relies, including Apple Maps.
8. Third-party services and advertising
The Service relies on and may link to third-party services (including, without limitation, Apple Inc., Cloudflare, Inc., and governmental data providers) and may display advertising in order to support its operation. The Company does not control and is not responsible for any third-party content, products, services, or websites, and your use thereof is governed solely by the applicable third party's terms.
9. Disclaimer of warranties
THE SERVICE, INCLUDING ALL CONTENT, DATA, AND RESULTS, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY RESULT OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, CURRENT, OR RELIABLE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY RELIANCE ON ANY RESULT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS (USD $50). THE FOREGOING LIMITATIONS APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE FOREGOING MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its members, managers, officers, employees, contractors, and licensors from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use or misuse of the Service, your violation of these Terms, or your violation of any applicable law or any right of any third party.
12. Modifications; availability
The Company reserves the right, at its sole discretion, to modify, suspend, or discontinue the Service or any portion thereof, and to amend these Terms, at any time. Amended Terms become effective upon posting a revised version bearing a new “Last updated” date, and your continued use of the Service thereafter constitutes acceptance of the amended Terms.
13. Termination
The Company may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, the rights and licenses granted to you will cease, and the provisions of these Terms that by their nature should survive (including Sections 3, 5, and 9 through 16) will survive.
14. Governing law and venue
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas, and you consent to personal jurisdiction therein.
15. Miscellaneous
These Terms constitute the entire agreement between you and the Company concerning the Service and supersede all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. The Company's failure to enforce any provision is not a waiver of its right to do so later. You may not assign or transfer these Terms without the Company's prior written consent; the Company may assign these Terms without restriction. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and the Company.
